Terms of Use
1. Acceptance of Terms:
By accessing or using the services provided by Matthews Book Company, you agree to comply with and be bound by the terms and conditions outlined in this Terms of Service Agreement ("Agreement"). If you do not agree to these terms, please do not use our services or purchase our products.
2. Payment Terms:
Customers are required to pay for the services and products provided by Matthews Book Company as outlined in the applicable pricing, order confirmation, invoice or subscription plan or chargeback. Failure to make timely payments may result in the suspension, termination of services, delay of product delivery, credit hold, collections, arbitration or legal action.
3. Late Payments:
In the event of late payment, Matthews Book Company reserves the right to impose late fees or interest of WSJ prime rate + 2% charges. Continued non-payment may result in the cancellation of the order.
4. Suspension/Termination of Services or Cancellation of Orders
Matthews Book Company reserves the right to suspend or terminate services, or cancel orders for customers with outstanding payments. Suspension or termination of services may occur without notice and may result in the loss of data, access, or other benefits associated with the services. Cancellation of orders may occur without notice, and the customer may be responsible for any costs incurred up to the point of cancellation.
5. Dispute Resolution:
In the event of a dispute regarding payment or any other matter, Matthews Book Company and the customer agree to engage in good faith efforts to resolve the dispute informally. If the dispute cannot be resolved through informal means, both parties may pursue either of the following options:
a. Alternative Dispute Resolution (ADR):
Any dispute, controversy, or claim arising out of or relating to this Agreement, including issues related to non-payment, may be submitted to binding arbitration conducted in accordance with the rules of the American Arbitration Association. The decision of the arbitrator(s) shall be final and binding on both parties.
b. Lawsuit in St. Louis County:
Alternatively, either party may choose to file a lawsuit in the appropriate court in St. Louis County, Missouri, to resolve the dispute. Both parties consent to the exclusive jurisdiction of the state and federal courts located within St. Louis County for any legal actions arising out of or related to this Agreement.
6. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of the state of Missouri, without regard to its conflict of law principles.
This modification provides the option for dispute resolution through both arbitration and a lawsuit in St. Louis County.
